Live Nation Reports $3.8B Q1 Revenue, Operating Loss Attributed to $450M Legal Accrual

Live Nation Entertainment reported a 12% year-over-year jump in revenue to $3.8 billion for Q1 2026, driven by double-digit growth across its concerts, ticketing, sponsorship, and advertising divisions.
But the company swung to a reported operating loss of $371 million , versus a profit of $114.8 million a year prior, dragged down by a $450 million legal accrual tied to the company’s settlement with the US Department of Justice and ongoing state-level antitrust litigation.
Adjusted operating income (AOI), which excludes the legal accrual and other non-cash items, rose 9% YoY to $371 million .
That’s according to Live Nation’s latest quarterly earnings report, published Tuesday (May 5).
The company has been battered by lawsuits from regulators over consumer protection and accusations of illegal monopoly.
Despite settling with the US Department of Justice in March, a federal jury in April found that Live Nation and its ticketing division Ticketmaster illegally monopolized the US ticketing and amphitheater markets. The result handed a victory to the coalition of 33 states and the District of Columbia that pressed the landmark antitrust case to trial after the DOJ settlement.

Live Nation continues to face a legal challenge from the US Federal Trade Commission that centers on alleged BOTS Act violations and deceptive pricing practices. On Friday (May 1), Live Nation pushed back on the FTC’s attempt to use a recent court victory as leverage in the ongoing BOTS Act lawsuit against the company. The company argued that the ruling in the Key Investment Group case in fact strengthens its own argument for dismissal.
In response to a Morgan Stanley analyst’s question regarding whether legal costs would persist for the rest of the year, Live Nation President and CFO Joe Berchtold said during the company’s earnings call : “We’ll continue to have some expenses on the legal side. Those will be related to the FTC and some other activities. I think they should get moderated over the next few quarters from where they’re at today.”
Live Nation President and CEO Michael Rapino said: “In an increasingly digital and AI-driven world, the global desire for authentic human connection has never been stronger. We are seeing a fundamental shift as fans prioritize the ‘live’ experience—the chance to be physically present with their favorite artists and share that energy with friends and fellow fans in a way a screen simply cannot replicate.”
Concerts revenue rose 12% YoY to $2.78 billion in Q1, which executives attributed to the segment’s strong performance in Latin America.
On the company’s earnings call, Rapino said: “Latin America is on fire from small to big, to festivals. We’re seeing a great global supply and demand as we predicted in our investor day coming to life this year.”
Berchtold added: “This was a very good quarter in Latin America, which drove both concerts and sponsorship performance. Some festivals there that we had that did well. Going forward, we see both North America and international markets performing very strongly this year.”
AOI in the concerts segment plunged 56% YoY to $2.9 million from $6.6 million.

Ticketing revenues through Ticketmaster were also up 10% YoY to $765 million despite what Berchtold described as “some of the headwinds on the secondary side.”
Berchtold said: “A lot of the growth on the Ticketmaster side is coming from additional concert tickets that are being sold… The business operationally at its fundamentals continues to be in good shape. We’re adding more clients globally. We’re selling more tickets.”
Ticketing AOI was almost flat, rising 1% YoY to $256 million in Q1. The sustained increase, however, was due to a 4% YoY growth in sales of fee-bearing tickets to 81 million . As of the end of April, over 107 million tickets had been sold for 2026 Live Nation concerts, up 11% YoY.
Amid strong consumer demand, Live Nation’s event-related deferred revenue jumped 22% YoY to $6.6 billion , which the company describes as the largest deferred revenue balance in its history. Ticketing deferred revenue also climbed 29% YoY to $368 million , accounting for $5.5 billion in deferred ticketing gross transaction value (GTV).

Meanwhile, revenue from sponsorships and advertising jumped 20% YoY to $259 million , with AOI surging 21% YoY to $165 million .
Looking ahead, Live Nation expects primary fee-bearing ticket volume to grow mid-single digits for the full year.
Total fee-bearing tickets transacted through April were up 9% YoY to 138 million with GTV of $17 billion , up 15% YoY .
Rapino said: “We have already booked over 85% of our large-venue shows for the year, with show counts up year-over-year across stadiums, arenas, and amphitheaters… As we continue to expand our global footprint to meet this growing demand for physical connection, we are well positioned for long-term compounding double-digit growth.”
